What is the difference between an individual and a legal entity?

• •

An individual is any person , which, by law, from the moment of birth may have rights and obligations, whereas a legal entity is organizational unit (e.g., a limited liability company, a foundation, a state treasury) endowed with legal personality by law. An individual acts independently, whereas a legal entity operates through its governing bodies, such as a board, and has assets separate from those of its members.

To sum it up

  • A natural person is a human being; he or she has legal capacity from birth to death (Article 8 of the Civil Code).
  • A legal entity is the State Treasury or an organizational unit endowed with legal personality in accordance with the law (Article 33 of the Civil Code); it usually arises from the moment of entry into the register.
  • A legal entity operates through its structures, and its assets and liabilities are separate from those of its partners or members.
  • An entrepreneur conducting individual business remains an individual.

Who is a man?

In the right individual — is just a person. According to Article 8 of the Civil Code, every person has legal capacity From the moment of birth, that is, the ability to be the subject of rights and obligations—for example, to inherit or own property. This legal capacity persists until death.

Legal capacity , or the ability to independently enter into contracts and declare intentions, is a completely different matter. It depends on age and health.

  • An adult (usually 18 years old) has complete legal capacity, unless he or she is in a state of total incapacity.
  • limited access – for minors aged 13 to 18 years and persons with partial incapacity.
  • Incapacity – children under 13 years of age and persons who are completely incapacitated (legal representatives act on their behalf).

Who is a legal entity?

According to Article 33 of the Civil Code, legal entities are the state treasury and organizational units, which are granted legal personality in accordance with special provisions . These are organizations that differ in organizational structure and property, created to achieve specific goals – economic or social.

Examples of legal entities:

  • joint-stock companies : limited liability company, simple joint-stock company, joint-stock company.
  • funds, registered associations and cooperatives ,
  • State Treasury and local governments (municipalities, counties, voivodeships),
  • including state universities .

Legal personality is usually acquired upon entry into the relevant register. (Article 37 of the Civil Code) – in the case of companies, foundations, or associations, this is the National Court Registry. It is not a person, so it cannot «act» independently – it does so through its governing bodies (Article 38 of the Civil Code), for example, the board of directors of a company, which signs contracts on its behalf.

Natural person and legal entity are the most important differences.

Characteristic Natural man Legal entity
Who is he? Man Organizational unit or State Treasury
Based on the Civil Code Art. 8 et seq. Art. 33 ff.
Beginning of legal existence Birth Typically this is an entry in a register (for example, KRS).
End Death Exclusion from the register as a result of liquidation or bankruptcy.
How does this work In person or through a representative/legal representative. Bodies (e.g. board of directors)
Legal capacity Depends on age and degree of disability. Since its inception, it has been implemented by the authorities.
Property and liability He is liable at the expense of his own property. It is liable with its own assets, which are separate from the assets of its members.
Income tax PIT Usually CIT

The most important practical difference concerns liability for debts . An individual is liable for their obligations out of their own funds. A legal entity is liable out of its own funds—partners in a limited liability company are generally not personally liable for its obligations. However, regulations provide for exceptions, such as the liability of board members in certain situations.

Natural persons also have rights that legal entities do not, since they are inherently human—for example, the right to marry or the right to vote. However, a legal entity has its own name (the company name) and registered office, and can continue to exist despite changes in the membership.

Organizational units that do not have legal personality.

There is also a third category of subjects. Article 33¹ of the Civil Code covers organizational units that are not legal entities but are endowed with legal capacity by law – they are usually referred to as "imperfect legal entities." The provisions governing legal entities apply accordingly.

Examples such partnerships The following are considered legal entities: general partnerships, professional partnerships, limited partnerships, and limited liability partnerships. These partnerships may enter into contracts or acquire real estate in their own names, but they are not legal entities, and partners (at least some of them) are also liable for their obligations with their own assets.

How do you know who you are signing a contract with?

  • «"sp. z oo", "SA", "PSA", foundation, association, cooperative – is a legal entity; you can check its details (KRS, organs, representative offices) in the National Court Register.
  • First and last name with the company name (e.g. «Jan Kowalski Usługi Remontowe») is a natural person carrying out business activities registered with the CEIDG.
  • «"sp.j.", "sp.k."» – a partnership, that is, an organization without legal personality, entered into the National Court Register.
  • When concluding an agreement with a legal entity, it is necessary to check whether the signatory is authorized to represent its interests.

This article is of a general nature and does not replace legal advice. When setting up a business, choosing a legal structure, or if a dispute arises, it is recommended to consult with a lawyer, attorney, or tax advisor.
